Terms & Conditions

§1 General

These general sales and delivery terms apply to any agreement made between Cube Design A/S (hereinafter “Cube Design”) and its customers, unless a separate explicit written agreement has been made between the parties.

§2 Conclusion of Agreement, etc.

An agreement is only concluded when Cube Design has issued an order confirmation, invoice, or other similar written agreement, based on the specific terms stated therein. All prices listed in the price list include packaging, such as pallets and containers, and are exclusive of taxes, VAT, environmental fees, and other charges. Cube Design reserves the right to adjust the listed prices without prior notice due to increases in the cost of raw materials, production costs, transportation expenses, packaging, or other sudden changes in cost levels. All agreements are thus based on the prices valid at the time the order is received.

The terms of the agreement are based on the information, including those related to price, materials, and properties, as specified in the order confirmation, invoice, or other similar agreement, with any other information considered merely advisory and, if necessary, corrected no later than at the time of the agreement’s conclusion. Unless otherwise specified in an explicit written agreement, the goods are sold for normal and ordinary use in accordance with their intended purpose.

§3 Payment Etc.

Payment must be made in accordance with the payment terms stated on the invoice. The customer is not entitled to withhold any part of the payment and cannot fulfill its obligations through offsetting or similar actions. In case of delayed payment, Cube Design is entitled to charge interest at a rate of 2% per month or part thereof, partially delay subsequent deliveries, and set special payment terms.

§4 Retention of Title

Cube Design retains ownership of all goods listed on the invoice or other similar written agreement until the full purchase price has been paid. The customer is obligated to keep the goods fully insured until the purchase price is paid, and during this period, the customer is responsible toward Cube Design for any damage to the goods. Cube Design has the right to inspect the goods at any time.

§5 Delivery

Delivery to EU Countries :
Unless otherwise agreed in the dealer contract, Cube Design delivers free to the dealer, installer, or freight forwarder within the EU for orders exceeding EUR 1.500,-.
For orders below EUR 1.500,-, a shipping and handling fee of EUR 250,- will apply.
Unless otherwise agreed, delivery is made to the dealer’s warehouse. Deliveries to end customers incur an additional shipping fee of EUR 150,- for business addresses and EUR 200,- for private addresses.

Delivery to countries outside the EU :
Shipping prices are agreed based on the freight forwarder’s current rates.

In general :
For smaller orders sent as courier parcels, a shipping fee will be applied based on size, weight, and address.
Orders with scheduled delivery incur an additional shipping fee as agreed.
Delivery to the end customer will be made to the customer’s address at the ramp (front door).
Regardless of whether the customer is present at the time of delivery, the risk for the goods passes to the customer upon delivery at the agreed location.
The customer is responsible for ensuring that the delivery location is accessible and appropriately arranged for unloading and storage of the goods in their standard packaging. The dealer is still responsible for receiving the goods.
Any deviation from the delivery terms will be considered as a complete deviation from the above, and the buyer will assume the risk for the goods from the earlier point when the goods, according to the agreement, were or could have been picked up.
If the customer notifies Cube Design of a delay later than five (5) working days before the scheduled and confirmed dispatch time, a fee of EUR 50,- will apply.
If the customer changes the delivery address later than five (5) working days before the start of the dispatch week, an administration fee of EUR 50,- will apply.
Upon receipt, the goods must be inspected before signing the delivery note. Signing the delivery note means that the goods are in good condition and undamaged.
Any damage to the goods should be noted on the delivery note and confirmed by the driver.

Non-visible damage must be reported within five (5) working days.

§6 Customer’s Cancellation of Agreement

If the customer wishes to cancel the agreement, this can be done within two (2) days after the order confirmation has been sent, provided that no manufacturing / dispatch / delivery of the goods has begun at that time, subject to a payment of 5% of the purchase price, as well as any additional loss Cube Design may incur due to the cancellation. After this period, the agreement cannot be cancelled.

§7 Returns

Standard goods can only be returned in their original packaging and only after prior agreement. A return will incur a deduction of 25%, or 50% if repackaging is required. Custom-made goods cannot be returned.

§8 Delay

The confirmed delivery date is only an estimated deadline, as Cube Design is entitled to make changes or temporarily delay deliveries to ensure appropriate scheduling of goods deliveries and administration.

Cube Design cannot be held responsible for any loss the customer may incur due to changed or delayed delivery dates. The customer cannot cancel the agreement due to a delay caused by Cube Design unless the delay exceeds three (3) months. The customer cannot claim compensation due to a delay by Cube Design.

§9 Customer’s Delay

If the customer knows that they will not be able to receive the goods on the agreed date, or if a delay on their part seems likely, they must immediately notify Cube Design in writing and provide the reason for the delay, as well as indicate, if possible, the time when the receipt can be expected. Regardless of whether the customer fails to receive the goods at the agreed time, they are obligated to pay as if the delivery of the goods had occurred. Cube Design will store the goods at the customer’s expense and risk. Upon the customer’s request, Cube Design will insure the goods at the customer’s expense. Cube Design is entitled to issue a written request for the customer to receive the goods within 15 days. If the customer fails to do so within the deadline, for reasons Cube Design is not responsible for, Cube Design is entitled to terminate the agreement for the undelivered part of the goods due to the customer’s delay. Cube Design is then entitled to compensation for the damage caused by the customer’s breach of the agreement.

§10 Defects, etc.

Cube Design is solely responsible for defects in the sold goods to the extent that they are caused by issues with the materials used or the workmanship.

Cube Design is thus not responsible for issues caused by incorrect or abnormal use or storage, including in relation to climate and temperature conditions and in accordance with Cube Design’s instructions.

Once the risk of the goods has transferred to the customer, Cube Design can only be held liable for defects as outlined in this provision.

The customer is required to conduct a thorough inspection of the goods immediately upon receipt. Any complaints about defects and/or visible transport damages, which could have been – or should have been – discovered during this inspection, must be noted on the delivery note and immediately returned to Cube Design so that Cube Design is promptly informed.

Any complaints about “non-visible” transport damage must be received by Cube Design within five (5) days of the delivery date. Complaints about any defects must also be submitted no later than five (5) days after they were – or should have been – discovered. If a complaint is not made within this period, the right to claim for defects is lost.

A complaint must be made in writing and contain a specific description of the defect, along with photo documentation or, alternatively, the defective component / item. Cube Design commits to rectify any defects caused by errors in design, material, or manufacturing by repairing or replacing the goods in accordance with the points below. However, Cube Design will not be liable for defects resulting from minor knots, color variations, strong or weak growth rings in the wood, and growth marks in leather, as these are signs of authenticity and cannot be considered defects.

In case of deficiencies for which Cube Design is responsible, the customer is not entitled to claim anything other than the right to have the goods replaced, at no cost to the customer. The customer is specifically not entitled to cancel the agreement or demand proportional reductions, compensation, or refunds unless the deficiency is due to gross negligence or intentional actions by Cube Design. Cube Design can under no circumstances be held liable for operational loss, lost profits, time-related losses, or other indirect damages the customer may suffer.

Defective goods remain the property of Cube Design and must, upon request, be returned to Cube Design. The customer bears the costs and risks related to this transport. Unless Cube Design has explicitly committed to warranting the item for a longer period, Cube Design can under no circumstances be held responsible for defects not reported in writing within two (2) years after delivery to the customer.

§11 Product Liability

The customer must compensate and indemnify Cube Design for any claims made by third parties based on damages Cube Design is not liable for toward the customer.

Cube Design is liable for damages caused by defective products in accordance with the provisions of Act No. 371 of June 7, 1989 (Product Liability Act). The liability for damages shall not exceed EUR 7.000,-, and Cube Design can under no circumstances be held responsible for operational loss, lost profits, time-related losses, or other indirect losses.

The customer must immediately inform Cube Design of any cases where a third party files a lawsuit or otherwise makes a claim due to damage caused by products manufactured by Cube Design.

§12 Design Changes

Cube Design reserves the right to make any necessary changes to the products’ design without prior notice. Cube Design also reserves the right to change colors related to fabric, linoleum, and laminate. Notifications of significant changes will be sent to the customer prior to delivery.

§13 Waiver of Rights

If Cube Design fails to exercise or assert any rights under these terms, such failure will not be considered a waiver of any such right. Cube Design’s rights will remain intact and will not be lost due to failure to assert them immediately.

§14 Dispute Resolution

Any disputes between the customer and Cube Design that may arise in connection with fulfilment of the agreement in relation to the present Sale and delivery terms as well as any condition associated therewith must be settled by Sø- og Handelsretten (the Maritime and Commercial High Court) in Copenhagen. Any dispute must be settled in accordance with Danish law, more specifically Act no 237 of 28 March 2003 (the Sale of Goods Act), to the extent that this has not been deviated from above.

Cube Design A/S reserves the right to correct any typographical errors.
Prices are subject to change due to fluctuations in exchange rates.

The prices indicated in the price list are recommended retail prices in EURO excluding VAT.

Architectural and Drawing assistance

For architectural and drawing assistance carried out by our in-house architects in connection with quotations and orders, a fee of EUR 95,- per commenced hour will be charged.

General Information Regarding Transport Damage

When receiving a product from Cube Design, there are a few things we recommend you pay attention to. If you have any questions or any doubts, please do not hesitate to contact us.

Upon receiving your goods, it is important that you inspect the packaging for any damage or scratches.

If there is visible damage to the packaging, it must be noted on the freight letter before signing it. Please also remember to contact Cube Design.

If the packaging is pressed or has minor scratches, you should sign for receipt with a reservation for transport damage. Then inspect the goods and contact Cube Design if the items are damaged.

If visible damage is discovered only after the delivery note has been signed and the driver has left, we recommend that you immediately contact Cube Design – without moving the goods. Please take pictures of the packaging and do not unpack the goods.

Once the product has been received, unpack it from the packaging and check whether everything appears to be in good condition, without visible damage. If something is not as expected, it is very important that you contact Cube Design as soon as possible.

Check that the contents are correct and that all accessories are included. If anything is missing, we sincerely apologize! Please contact Cube Design so that we can send the missing parts as soon as possible.
